Terms of use

Nature of Agreement

This is a contract. These terms constitute a contract betweenyou(subscriber) and Africadataplan. By using our services you agreeto all the following conditions. If you do not accept the below termsand conditions, do not proceed to use the services of Africadataplan. You must be of legal age according to the laws of your jurisdiction to use our services (18 years in Nigeria).


Service Offering:

Africadataplan platforms allows you(subscriber) to buy or sell products listed on its platforms through your hosted mobile moneywallet. Subscribers understand that Africadataplan is not the direct provider of some of the products listed on it's platforms. As at the date of last update of this terms of use, Africadataplan only directly offers sells and purchase of crypto currency and gift cards. Africadataplan is also not a payment processor, and thus, does not process payment for the purchase or sell of products listed on its platforms. products listed Other than those expressly stated as directly offered by Africadataplan and every payment processing in relation thereto are offered by third party agents(Merchants).

 

Requirement of subscription and creation of wallet.

To use Africadataplan services, you must subscribe to Africadataplan website or mobile app and register a wallet account with valid information. Particularly, to use our services, you must: (a)provide a valid mobile phone number and email address; (b) agree that an e-wallet be created for you; (c) accept the current Terms; and (d) agree to submit such other (and additional) information as Africadataplan may request in line with regulatory/legal provisions. You agree to provide true, accurate and complete information about yourself as prompted by Africadataplan during the account registration process. You must ensure that any third-party information you provide to Africadataplan has been authorized appropriately. You will be given the option of receiving or creating a unique PIN for purposes of reusing your account. You are responsible for keeping your PIN secure at all times, without reservation. For the avoidance of doubt, Africadataplan will not be responsible when/where you compromise your details by disclosing it to third parties.


Liability of third part merchant.

Subscriber agree that Africadataplan is not responsible or liable for the Products you purchase from Merchants. The Service of Africadataplan provides an opportunity to discover offers fromindependent third-party merchants ("Merchants"). These Merchantssell their respective Products subject to their own terms andconditions. To illustrate: 

Airtime: If you choose to purchase pre-paid airtime, you do sopursuant to the relevant terms and conditions of mobile 4G telecommunications provider. 

Utilities: If you choose to purchase pre-paid electricity, you do sopursuant to the relevant terms and conditions of the utility provider. If you decide to purchase Products such as thest from third partyMerchants, you do so at your own risk and subject to the relevantMerchant's terms and conditions. We are unable to investigate, monitor, or check the products for accuracy, reliability,appropriateness or completeness. By granting you access to discoverthe Products via the Service, Africadataplan does not imply approvalor endorsement of such Products. You therefore agree thatAfricadataplan is not responsible or liable for the Products youpurchase fromn Merchants.

However, where issues arise from dealing with a Merchant, Africadataplan may offer assistance through its support services to ensure that such issues are resolved in the most efficient way.


Payment processing.

Payments are processed by third parties.

In order to facilitate your purchases from Mervchants, Africadataplanhas integrated its Service with the billing solutions of certain mobile money providers and credit card issuing banks ("Payment Processors"). When you purchase a Product from a Merchant using supported mobile money wallet or account or debit/credit card, payments will be processed by such Payment . 

Payment Processors have their own terms and conditions governing your Use of their services. You understand and agree that Africadataplan does not process payments and is not responsible or liable for any transactions in which you engage via such payment processirs. By engaging in a purchase transaction using your mobile money account or debit/credit card, you authorize the Merchant (or Africadataplan on its behalf) to bill your account or card for the purchase amount. Your privacy is important to us. Africadataplantakes the mattersof protection and security of its users' information very seriously. Africadataplan's privacy policy governing the Service is attached to these Terms ("Privacy Policy"). The Privacy Policy is incorporated into these Terms by this reference.

 


Prohibited activities/account restrictions or termination.

You must not use the Service to violate any laws. You must not use the Service to violate or infringe the rights of any other person, including the rights of other users, Africadataplan's rights in the Service or Merchants' rights in their Products. You must not breach any laws or regulations when using the Service or attempt to disrupt or interfere with the security or functionality of the Service. In the event that Africadataplan reasonably suspects that you are using the Services for illegal activities (particularly fraud, money laundering or other related illegalities), Africadataplan reserves the right to block your account immediately without liability. Such illegalities as mentioned above may be as a result of enacted laws, court judgments, rulings or pronouncements, or regulatory policies and guidelines to which Africadataplan is bound. If a breach is associated with your account/wallet, you agree that we have the right to apply restrictions to your account/wallet and report to the appropriate law enforcement agencies or the respective regulator, in line with extant laws without informing you.

 


Communications.

Africadataplan may contact you regarding your account or the Service. You expressly agree that, as part of the Service, you may, from time to time, receive communications from Africadataplan via email, instant message, telephone, text message (SMS), emails or other means. You may elect to stop receiving promotional messages by emailing your request to opt-out, along with your cell phone number, to ng-support@africadataplan.com, or following the opt-out instructions in the message. Even if you choose to opt out of receiving promotional messages, you may not opt out of receiving service-related messages as these ensure that we are able to deliver accurate, relevant, sensitive and security-related services to you.

 


Product Inquiries

Product inquiries should be submitted to the relevant Merchant. If you have any questions, concerns or requests related to a Product you have purchased from a Merchant, please contact

the Merchant directly or contact us at ng- support@Africadataplan.com for assistance. Each

Merchant maintains its own customer contact desk for handling such requests, however Africadataplan will do its best to assist you. If you wish to submit a complaint about the practices of a Merchant offering its Products via our service, you may contact us by email at ng-support@africandataplan.com.


Intellectual Property Rights:

Africadataplan retains exclusive intellectual property rights, including trademarks, logos, and the name "Africadataplan." Users are expresslyprohibited from using Africadataplan's intellectual property for anyunauthorized purposes. offenders may be subject to legal action, including action for copyright infringement.



Indemnification:

 Users agree to indemnify and hold Africadataplan harmless from any claims, losses, or damages arising out of their misuse of the site, violation of terms, or infringement of intellectual property rights.

Modification of Terms:

 Africadataplan reserves the right to modify these terms and conditions at any time. Users may not be notified of changes, and continued use of the platform constitutes acceptance of the modified terms.



Account Security:l

Subscribers are responsible for maintaining the security of theiraccounts, including login credentials.

You are responsible for keeping your PIN secure at all times, withoutreservation. For the avoidance of doubt, Africadataplan will not beresponsible when/where you compromise your details by disclosing itto third parties. Any unauthorized access or use of an account must bereported to Africadataplan immediately.

 

DISPUTES AND ARBITRATION

You agree to arbitrate any disputes. This Agreement is subject to, and shall be governed by, and construed in accordance with the laws of Nigeria, without reference to the principles of

conflict of laws thereof. Any matters arising Concerning the interpretation, validity or

implementation of this Agreement not solved by mutual agreement between the Parties shall be

submitted to arbitration in the English language before a sole arbitrator to take place in Delta State, Nigeria as the seat of the arbitration. The arbitration shall be conducted pursuant to the

Rules of Arbitration of the Chartered Institute of Arbitrators of the United Kingdom. The arbitral decision shall be final and binding on the Parties and may be made an order of court. The Parties unconditionally consent and submit to the jurisdiction of the High Court of Delta State, Nigeria for such purpose. Nothing in this Agreement will be deemed as preventing parties from seeking injunctive relief (or any other provisional remedy) from any court having jurisdiction over the Parties and the subject matter of the dispute as is necessary to protect a party's name, proprietary information, trade secrets, hknow-how, or any other intellectual property rights.

 


Africadataplan Website API Usage Requirements.

To resell Africadataplan services or use our API, adhere to the following requirements:

 

a. Contact Our Team:

Reach out to our team members for a comprehensive investigation before utilizing our API. This ensures a proper evaluation of your eligibility.

b. Valid Website:

Maintain a valid and functional website that complies with industry standards. A well-established online presence is crucial.

c. Company Registration:

Your business or company name must be officially registered under the Corporate Affairs Commission (CAC). This registration ensures the legitimacy of your enterprise.

d. Business Account:

Open a business account with established banks such as First Bank, Polaris Bank, UBA, or equivalent. Online banks like Kuda, Opay, Moni Point, or VFD Bank are not accepted for API usage.

 

e. Security Measures:

We prioritize the security of our platform and users. Adhering to these requirements contributes to protecting the integrity of our services.

Note:

Fulfilling these requirements is essential for using our API as a stand-alone website. This protocol is in place to safeguard the interests of all users and maintain a secure and reliable service environment.



Refund Policy for Africadataplan VTU Website

Transaction Refunds:

We only refund transactions if they do not go through and remain pending on our end. Successful transactions marked on our end are non-refundable. Refunds for pending transactions may take 24 to 48 hours to process.

a. Deposit Refund Issues:

We do not provide refunds for deposits. In the event of any issues related to a deposit, we are committed to resolving them promptly, and the deposited amount will be made available in your account.

b. Withdrawal Fees and Processing:

All withdrawals from your Africadataplan VTU account to your bank account are subject to fees. Withdrawals are processed instantly, mirroring the deposit process. If you experience any delays in withdrawal, please contact our support team for assistance. Email

Crypto Currency Exchange and Gift Card Trading:

the following terms apply to the exchange of gift cards for cryptocurrency or cash on the Africadataplan Limited website:

You must be the owner of the gift card you are exchanging.

The gift card must be in good condition and not expired.

The gift card must be from a participating merchant.

You may only exchange gift cards for Naira or cash equal to the value of the gift card.

AfricaDataPlan Limited reserves the right to refuse any gift card exchange for any reason.

By using the Africadataplan Limited website or services, you agree to these terms of services and the additional terms set forth above.

The value of cryptocurrencies may be highly volatile and subject to market risks. AfricaDataPlan Limited is not liable for any losses incurred due to market fluctuations.


5. Compliance with Regulations:

Users are responsible for complying with their respective local laws regarding the use of our Services. 

Limitation of Liability:

 

Africadataplan Limited shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use our Services.

We shall not be liable for any loss of profits, data, or other intangible losses


Amendments:

We may modify or update these Terms from time to time without prior notice.

Continued use of our Services after such changes constitutes your acceptance of the updated Terms.


Gift Card Trading

You can use the Africadataplan website to trade gift cards in exchange of Naira or cash. To do this, you will need to upload your gift cards to the Africadataplan Limited website. AfricaDataPlan will then verify the gift cards and exchange them for cash.


Payment Errors

Africadataplan Limited may make mistakes with payments. In such cases, users are expected to make refunds to Africadataplan within 48 hours. Failure to make such refund, Africadataplan Limited will be forced to take legal action against such user(s).


Errors

AfricaDataPlan will not be held responsible for your own mistakes using our platform.


Used Cards

AfricaDataPlan Limited will not be held responsible for used cards. If you upload a used card to the Africadataplan website, you will not recceive any payment.


Infected Apple Gift Cards

Infected Apple Gift cards will automatically be used as fast use without sending notification to the user. This will help eradicate fraudulent activities. Rate will be lower for fast used cards.


Withdrawal Errors

AfricaDataPlan Limited will not be held responsible if you input wrong account information for withdrawal.

'Default' uploading your gift card at the wrong place will attract payment reduction "-10%" for default.

'Default' inputting wrong amount of gift card at the wrong section will attract payment reduction '-10%’ for default.


Bad Cards

Uploading bad cards repeatedly could get your account restricted.✓


Entire Agreement

These terms of use constitute the entire agreement between you and Africadataplan Limited with respect to your use of the Africadataplan website and services. These terms of use supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.



If any provision of these terms of use is held to be invalid or unenforceable, such provision will be struck from these terms of use and the remaining provisions will remain in full force and effect.


Waiver

No waiver of any provision of these terms of use for any user all users are bound by this term of use except unless in writing and signed by both parties.

The headings in these terms of use are for convenience only and will not affect their interpretation.


Counterparts

These terms of use may be executed in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.
